Terms and Conditions

    Last Updated: 3 October 2026

    These Terms and Conditions (the "Terms") govern your access to and use of the Gatsbie website, mobile applications, APIs and related services (collectively, the "Service"), operated by Gatsbie ("Gatsbie", "we", "us" or "our"). By creating an account, ticking the acceptance checkbox at sign-up, or otherwise accessing or using the Service, you ("you", "User") agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

    Our commitments to you

    We know your fundraising data is sensitive. In plain words:

    • We never sell your personal data or your company data.
    • Your pitch deck, financials and CRM notes are confidential. They are shared only with the people you choose, or with investors when you turn on Share with investors.
    • You control your visibility. Stealth mode keeps your company profile private. Share with investors decides whether we can send your information to investors.
    • We don't let AI providers train their models on your identifiable content.
    • You can leave at any time. Delete your account from your settings. Deactivate your startup profile at any time, or email us to have it deleted.

    The sections below set out these commitments in full. If anything in these Terms seems to conflict with this summary, the more protective reading for you applies.

    1. Eligibility & Account

    You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate, current and complete information when you register, and to keep it up to date. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at info@gatsbie.net of any unauthorized use.

    2. Description of the Service

    Gatsbie is a platform that helps founders, investors and professionals connect, including but not limited to: investor discovery and matching (VCs, family offices, angels, accelerators), CRM and outreach tools, AI-powered due diligence and scoring, pitch-deck and profile analysis, market and fit insights, messaging, events, communities, and related services we may add over time. The features, pricing and limits of the Service may change over time.

    3. User Content & Confidentiality

    "User Content" means any information, file, pitch deck, document, profile, company data, financial data, team data, message, image, audio, video, link or other material you upload, submit, generate through the Service (including content produced from your inputs by our AI features) or otherwise make available on or through the Service.

    Ownership. You retain ownership of your User Content. You represent and warrant that you have all rights, consents and authorizations needed to submit it and to grant the licence in Section 5, and that it does not violate any law or third-party right (including IP, privacy, confidentiality, contractual or NDA obligations).

    Confidentiality. We treat your non-public User Content, including pitch decks, financials, cap tables, data rooms, CRM notes and investor feedback, as confidential. We do not disclose it to anyone except:

    • (a) recipients you choose through the Service;
    • (b) investors, when you have turned on Share with investors (Section 4);
    • (c) our service providers acting on our behalf under confidentiality obligations (Section 5); and
    • (d) where required by law (Section 5).

    No sale of data. We do not sell, rent or trade your personal data or your User Content to any third party.

    4. Your Visibility Controls

    You decide who sees your company and what we share. Two settings control this:

    Stealth mode. You choose whether your company profile is public or private.

    • When Stealth mode is on, your company profile is hidden from investor directories, search, match results and other users of the Service.
    • When Stealth mode is off, your public profile, meaning the fields you choose to display (for example company name, sector, stage, location and one-line description), is visible to other users of the Service.

    Share with investors. You choose whether Gatsbie may send or show your company information, such as your profile, pitch deck and materials, to investors.

    • When this setting is off, we will not share your User Content with investors, except where you send it yourself through outreach, intro or messaging features (Section 6).
    • When this setting is on, we may present your information to investors we match you with or who search for companies like yours.

    Private by default. CRM notes, pipeline data, investor feedback and uploaded financials you have not shared are never shown to other users, whatever your settings.

    Changing your settings. You can change these settings at any time. Changes apply going forward. They cannot recall information an investor or other recipient has already received.

    5. Licence You Grant to Gatsbie

    By submitting User Content, you grant Gatsbie a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, analyze, display and transmit your User Content solely to provide and improve the Service and as directed by you, including to:

    • operate, secure, maintain and improve the Service, including AI matching, scoring, due diligence, insights, search and recommendations;
    • send your User Content to recipients you choose through the Service, such as investors you contact, founders you introduce, communities you join or recipients of emails you trigger;
    • display your profile and share your information with investors, only as allowed by your Stealth mode and Share with investors settings (Section 4);
    • create aggregated and de-identified statistics as described below; and
    • comply with law, lawful requests and our legal obligations.

    Sub-licensing and transfer. We may sub-license only to our service providers and sub-processors (for example cloud hosting, email delivery, payments, AI model providers and analytics) acting on our behalf under confidentiality obligations. A list of our sub-processors is available at [link]. We may transfer this licence only to a successor in a merger, acquisition or sale of all or part of our business, who will remain bound by these Terms.

    Aggregated and de-identified data. We may create aggregated and de-identified statistics and benchmarks, such as average round sizes by sector or investor response rates. These will not identify you, your company or any individual, and are only published when based on data from at least [10] companies. Because this data no longer identifies you, we may keep and use it after your account is closed.

    New features. If we launch a feature that would use your User Content in a materially different way from those described here, such as featuring your startup in Gatsbie newsletters or articles, we will ask for your opt-in first.

    AI features. The Service uses third-party and proprietary AI models for matching, due diligence, embeddings and text generation. Your inputs and outputs may be processed by those models to deliver the Service to you. We do not allow third-party AI providers to train their models on your identifiable User Content, and we choose providers and settings that support this. We may use de-identified data to improve our own matching models. AI outputs may be inaccurate, so please review them before relying on or sharing them.

    Duration. This licence ends when you deactivate your startup profile (for processing towards other users) or when your data is deleted under Section 14, except for backups, legal obligations and aggregated data as described in Section 14.

    6. Outreach, Messaging & Anti-Spam

    When you use messaging, bulk-email, intro or contact-request features, you instruct us to send communications on your behalf to the recipients you select. This applies whatever your Share with investors setting, because you are choosing to send. The sender display name shown to recipients may be your name; the sending address is operated by Gatsbie (e.g. info@gatsbie.net) and replies may be routed to your email. You are solely responsible for the content of those communications, for having a lawful basis to contact each recipient, and for compliance with applicable anti-spam, marketing and data-protection laws (e.g. GDPR, ePrivacy, CAN-SPAM). You must not send unlawful, harassing, deceptive, misleading or unsolicited bulk messages.

    7. Investor, Fund & Third-Party Data

    The Service contains information about investors, funds, family offices, angels, startups and other entities compiled from public sources, user contributions and partners. This information is provided "as is" for informational purposes only, is not investment advice, and may be incomplete or out of date. You agree not to scrape, redistribute, resell or use this data outside the Service, and not to use it to build a competing product or to train a competing model. This also applies to data you access through integrations, such as Claude or other AI apps you connect to Gatsbie: integrations are for your own fundraising work, not for bulk extraction. Integrations act with your account's access and plan limits, and we may limit, pause or disconnect an integration that shows signs of bulk extraction.

    8. Acceptable Use

    You agree not to:

    • use the Service in violation of any law or third-party right;
    • upload content that is illegal, infringing, defamatory, fraudulent, malicious, obscene or harmful, or that contains malware;
    • reverse engineer, decompile, scrape, crawl, mass-download or otherwise extract data from the Service except through features we provide for that purpose;
    • circumvent rate limits, quotas, paywalls, access controls or security features;
    • impersonate any person or entity or misrepresent your affiliation; or
    • use the Service or any output to train, fine-tune or evaluate a competing AI model or competing product.

    9. Payments, Subscriptions & Credits

    Certain features require a paid subscription or the purchase of credits or points. Prices, plans and inclusions are shown at the point of purchase and may change with prospective effect. Subscriptions auto-renew until cancelled. Except where required by law, payments and credits are non-refundable once a paid action has been initiated (e.g. AI match run, email sent, PDF generated, email reveal). Payments are processed by third-party processors (e.g. Stripe), whose terms apply to the payment transaction.

    10. Intellectual Property

    The Service, including all software, models, prompts, design, text, graphics, logos and trademarks (other than User Content), is owned by Gatsbie or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. No other rights are granted.

    11. Feedback

    If you send us suggestions, feedback or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or compensation.

    12. Privacy

    Our collection and processing of personal data is described in our Privacy Policy. Where we act as a data controller, we rely on your consent, contractual necessity, legitimate interests or legal obligation, as applicable. You have rights under data-protection law, including to access, correct, export and request deletion of your personal data, and to object to certain processing. To exercise them, email info@gatsbie.net. Where you upload personal data about third parties (e.g. team members, contacts), you confirm you have the right to do so and to allow us to process that data on your behalf to deliver the Service.

    13. Third-Party Services

    The Service may integrate with, link to, or transmit data to third-party services (e.g. Stripe, email providers, AI providers, cloud hosting, analytics), only as described in these Terms and our Privacy Policy. We are not responsible for those services, and their use is governed by their own terms.

    14. Deactivation, Deletion & Termination

    These Terms apply for as long as you use the Service.

    Delete your account. You can delete your user account at any time with the Delete account button in your settings. This deletes your personal account data, subject to the exceptions listed below. Any startup profile you manage is deactivated, not deleted, unless you also request its deletion.

    Deactivate your startup profile. You can deactivate your startup profile at any time from your settings. When you deactivate it:

    • your profile is hidden from all users and investors;
    • we stop processing your data for matching, sharing and outreach; and
    • we keep your startup data so you can reactivate the profile later.

    Request deletion of your startup. Startup profiles cannot be deleted directly in the product. To permanently delete your startup profile and its data, including pitch decks, financials, team details and any personal data in it, email info@gatsbie.net from the email address you used with Gatsbie. We will confirm your request and complete the deletion within 30 days. For account deletion and startup deletion, we keep only:

    • (a) data we must keep by law, such as invoices and accounting records, for the period the law requires [10 years];
    • (b) data reasonably needed to handle disputes, prevent fraud or maintain security, for as long as that need exists;
    • (c) aggregated or de-identified data that no longer identifies you or your company (Section 5); and
    • (d) information already sent to investors or other recipients at your direction, which we cannot recall.

    Deleted data is removed from our backups within [90] days.

    Suspension or termination by us. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us, or for any other reason at our reasonable discretion. Where reasonable, we will give you notice and a chance to export your data first.

    Survival. Sections that by their nature should survive termination will survive, including Sections 7, 10, 11, 15, 16, 17 and 18, and Section 5 to the limited extent described there.

    15. Disclaimers

    The Service, including all matches, scores, due-diligence outputs, contact information and insights, is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness or availability. Gatsbie is not a broker, dealer, investment adviser or law firm; nothing on the Service is investment, legal, tax or accounting advice.

    16. Limitation of Liability

    To the maximum extent permitted by law, Gatsbie and its officers, employees and partners will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunities, arising out of or in connection with the Service. Our aggregate liability for any claim related to the Service is limited to the greater of (a) the amounts you paid to Gatsbie in the 12 months before the event giving rise to the claim, or (b) EUR 100. Nothing in these Terms limits liability that cannot be limited by law, including for our breach of data-protection law.

    17. Indemnity

    You agree to indemnify and hold Gatsbie harmless from any claim, loss or expense (including reasonable legal fees) arising out of your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

    18. Governing Law & Disputes

    These Terms are governed by the laws of Luxembourg, without regard to its conflict-of-law rules. The courts of Luxembourg City have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights you have in your country of residence.

    19. Changes to These Terms

    We may update these Terms from time to time. If we make material changes, especially to how we use or share your data, we will notify you by email or in-product notice at least [30] days before they take effect. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree, you can delete your account, deactivate your startup profile or request its deletion under Section 14.
